ESTIMATES

Patriot Chassis does not provide “bids” but rather provides “estimates” based on experience and available information and pricing at the time of estimate. Unless otherwise expressed in writing Patriot Chassis makes no absolute guaranty on pricing offered in an estimate. Due to the comprehensive nature of the restoration process it is difficult to determine an exact estimation as often there can be unforeseen works found that we cannot initially account for. Any estimate given is merely for guidance using our experience as vehicle restorers and should not be used as a finite budget. Vehicle restoration is a complex operation where the condition of the base vehicle can only be assessed when completely stripped. Many components that may have appeared to be serviceable may need replacing along the course of the restoration thus rendering any estimate null and void. As well, clearances, fitment, bracketry, etc… may have to be adjusted or otherwise modified in order to make very complex systems of engines, transmissions, cooling systems, etc… work at a high level of expectation.

 

Patriot Chassis maintains the right to charge for estimates. As a general rule if the project is moved forward to the execution phase, then we do not seek payment for estimates. Some estimates can be very lengthy and we need to recoup some of our costs. That said, we love what we do and love to talk with customers about their dreams and goals so in general we do not seek compensation. If you have any concerns about this aspect of the terms and conditions, please feel free to ask your project manager during the first phases of project discussions.

 

Estimates are valid for 28 days from the date given. If instructions are not received from a customer (in response to an estimate rendered) within 28 days, Patriot Chassis may invoice for reasonable storage fees for vehicle and/or goods from the date the vehicle or goods was received until its collection. (Note: Patriot Chassis does not as a general rule make any such charge for garaging pending instructions, if the work is ultimately carried out by Patriot Chassis and duly paid for).

 

If no estimate is provided or if parts only aspect of the work is covered by the estimate and work is carried out by Patriot Chassis, Patriot Chassis shall be entitled to charge a reasonable and proper price for the work done (including any stripping down leading to determination as to the practicability or otherwise of any work and reassembly) and for materials and parts supplied.

 

Patriot Chassis may refuse to carry out all, or part of any work for any reason whether or not an estimate has been provided.

 

All estimates by Patriot Chassis are subject to change caused by variations to Patriot Chassis of labor, material and parts at the date of estimate. In the event of any variation occurring before or after acceptance of the estimate Patriot Chassis may, if thinks fit, require the Customer to pay on completion of the work any increase due to such variation.

 

Orders received, for goods and/or services, from any persons employed by the customer, or by any person who is reasonably believed to be acting as the customers agent, or by the order of any person to whom Patriot Chassis is entitled to make a delivery of a vehicle or parts, shall be binding upon the customer.

 

Patriot Chassis may demand a deposit before commencing any work. Patriot Chassis only works as a deposit prior to work or a pay in full prior to work and does not work as a buy now-pay later business. The customer shall cooperate with Patriot Chassis in all matters relating to the services, schedule, and payments.

 

DELIVERY/ COMPETITION

Every endeavor will be made to provide the Goods and/or Services by the estimated time and costs, but Patriot Chassis shall not be liable for any delay in completing the Goods / Services or cost differences. Time shall not be of the essence in respect of this clause. Risk passes on delivery or where relevant collection.

 

GENERAL LIEN

Patriot Chassis shall have a general lien on all of the Customer’s vehicles and all their contents for all monies owing to Patriot Chassis by the Customer on any account whatsoever. Patriot Chassis shall be entitled to reasonable handling and storage fee during any period in which the vehicle is retained by virtue of the Lien.

 

PAYMENTS

Payments will be made on time. We are not a buy now-pay later business. We are not a bank and do not offer terms unless discussed prior and in writing (guarantee you will get better terms and rates at your bank, so go there!).

 

We offer 10 calendar days from delivery of invoice to make payment. We have no tolerance for late payments. If payments are not made in a timely matter, then we take action to protect Patriot Chassis from associated harm.  The 10 days is only to allow you time to review statements and make arrangements to pay; this includes transit. We adhere strictly to this guideline so all attention should be made to avoid the challenges associated with delays.

 

NO Credit cards are allowed other than on the website. Cash or equivalent, Cashier’s Checks, Direct Deposit, Personal Check (after clearing) or other form of secured payment are accepted.

 

GENERAL PAYMENT SCHEDULE

Standard Chassis Builds: 50% Down, 25% PRIOR to Assembly, 25% (transferred and secured in bank) PRIOR to shipping.

 

Custom Builds: 50% Down based on estimate, each phase thereafter will be estimated and payment for each additional phase will be paid in full or agreed deposit prior to work beginning.

Custom builds may require phases of custom work. This Work may not be able to be fully defined at the start of a project. If this is the case then once that phase of the project is reached an estimate will be provided and paid in full or deposit made based on agreement for that scope of work will be required. If deposits are made then final payment will be made upon the completion of that scope of work.

Custom work is not speculated by Patriot Chassis and as a rule Patriot Chassis will not be moving forward on work as a pay for work completed type format (also known as buy now-pay later).

 

Paint Projects: Paint can be very complicated and as such may require three to five phase payments. This will be negotiated on project-by-project basis. Each phase will be paid in full upon execution of that phase.

 

Website Purchases: Paid 100% up front and prior to shipping.

 

LATE PAYMENTS

            Late payments cause so much more chaos and cost than we think. Patriot Chassis can not and will not enter into any implied, verbal or otherwise agreement to move forward on any build without proper payment support. Since Patriot Chassis will not continue into a nonpayment project it forces us to have to stop work on that project. This means there is a cost associated with this stop work. Every aspect of production has to make adjustments. Laser cutting has to adjust cutting, welding has to adjust welding, paint has to make adjustments. Its not as easy as pulling a project to the side and move forward with the next aspect of work. Scheduling has to adjust, material supplies have to be checked, assessment of work that can be performed vs work that can not be performed must be made. As such, a late payment will cause costs associated with these adjustments. A $2000 fee will be assessed. If your project remains unpaid longer than two weeks, your project will be removed from production and stored in a storage facility (mini storage or the like) at a cost directly associated with the cost of that mini storage plus a management fee. Further costs will be associated with gathering the project and moving it to the storage facility. An additional $2000 fee will be assessed at the time the project is removed from our facility. Further, an additional $2000 fee associated with moving the project back into production will be assessed once an agreement has been reached on when the project will be put back into production and all outstanding payments are made.

 

CONFLICTS

Conflicts do NOT automatically cause a delay in the payment or timeline. Patriot Chassis will make expeditious efforts to address any conflicts that may arise. However, patriot Chassis has considered the human factor and embedded a reasonable amount of time in the payment schedule to account for most conflicts.  If conflicts can not be quickly overcome than at Patriot Chassis’ discretion an extension may be afforded. If conflict persists and a delay to schedule and payment timeline is experienced then costs associated with such delays will be at the discretion of Patriot Chassis.

 

CONTINUED NONPAYMENT

Continued non-payment beyond six months constitutes a forfeiture of all product associated with the build in accordance with lien laws in the state of Idaho.

 

SCHEDULE

Schedule is driven by Patriot Chassis. Schedule may be changed in cooperation with Patriot Chassis well ahead of scheduling conflict and only by discretion of Patriot Chassis. Patriot Chassis and its affiliates have many projects running concurrent and a very well-balanced schedule is absolutely critical. Late payments, adjusted expectations, pauses, conflicts, or otherwise any action taken that effects this schedule will be at the customers cost and fees may be assessed as outlined in the late payments section. This includes customers wanting to see work before moving forward. We cannot stop work to wait for a customer to come look even though we highly support this action. The delay while waiting for plane tickets and travel time cannot be afforded. We have an open-door policy and the customer can visit any time. But these delays can not be afforded by Patriot Chassis unless otherwise agreed upon in writing prior to schedule conflict.

 

STORAGE FEES (If Applicable)

Storage fees will be assessed only in the case of customer delayed payment or delayed schedule unless expressly discussed and finalized in writing prior with the customer. Storage fees will be based on the shop floor square footage x 1.5 x current lease rate unless stored vehicle and items have been moved to a storage facility whereby the fee of the storage facility x 1.1 will be assessed.

 

PRICES

Prices are always subject to change. We want to offer the best price. To do so, we charge you what we pay plus a small handling fee. If you want absolute quotes then we have to add a very large margin to cover the possibilities for venders to change prices and availability. This is the best way.

 

TITLING/REGISTEATION and APPLICABLE LAWS

Patriot Chassis manufactures custom badass products. We are not lobbyists. We are not attorneys. We do not follow every update of every law around the world. We do our best to communicate what the current laws are as we know them. However, the ultimate responsibility lands on you. You are the best steward of your project and its abilities to meet your local laws. We will only help in any legal way possible.

 

REFUNDS

Patriot Chassis makes custom products. They are not designed to be put on a shelf somewhere and sold to the next available person. In general, this means that we do not offer refunds on anything. That said, we are human, and we make mistakes. If this is the case then we will certainly honor and respect a return policy.  If an error has been made then Patriot Chassis will make every effort to fix the issue. We can not do this over night but we will follow standard practices to do so. This does not mean we will not take something back and offer a refund. Please contact Patriot Chassis and we will discuss options; restocking fees, shipping, design costs, engineering costs, etc…may apply.

 

SHIPPING COSTS

Shipping costs will be borne by the customer. Any Patriot Chassis liability for product damage related to shipping end at the back dock of Patriot Chassis. This includes any error that the shipper may have introduced. We will work with you as best as we can but the shipper will be the best way to resolve any issue due to shipping. WARRANTY

Except as may be specified in writing, Patriot Chassis makes no warranties, expressed or implied, on the products (parts, or kits) offered for sale.  All implied warranties of merchantability and fitness for a particular purpose are expressly disclaimed by Patriot Chassis.

 

While Patriot Chassis products are thoroughly tested under actual normal and race conditions, Patriot Chassis can not control the quality of the installation or application of any products nor the way in which they are used.  The products offered for sale are truly badass components, the installment of which often requires considerable time and fabrication skill.  Before attempting any installation or assembly, the purchaser should completely review all drawings and instruction sheets accompanying a product to determine the suitability of the product for the intended use, the time, and level of skill necessary for correct installation or assembly.

 

Patriot Chassis does not make any warranty, expressed or implied, or other representation about the use of any of its products under specific applications. Patriot Chassis products are expressly sold for custom vehicle-building, racing and off-road use and are not intended to be used in conventional passenger or other legal highway applications.

 

Purchaser expressly ASSUMES THE RISK of all personal, property and economic injury, damage or loss, either direct or indirect, arising from the use, misuse, or failure to determine the appropriate use of any Patriot Chassis product.

 

Wow, all of that said, we aren’t assholes either. Patriot Chassis will be glad to review any product or system failure to fully understand what may have gone wrong. Patriot Chassis will aid, at no obligation, in assessing the root cause to any system failure in order to better understand both what went wrong with the system, conditions, and aid in helping Patriot Chassis improve installation instructions and or product design.

 

INSURANCE

All vehicles and products are left at the customer’s own risk. Customer will be solely responsible for the insurance on their project to their comfort level. As a general rule Patriot Chassis carries fire loss and general liability for projects being worked on in our facilities. It is important that the customer maintain their own insurance covering anything above and beyond this basic liability. Please communicate with Patriot Chassis regarding the need for this aspect of the project.

 

PERSONAL ITEMS

Patriot Chassis is not responsible for any personal items left behind. It is the sole responsibility of the customer to inspect the vehicle prior to leaving it at our facility. It is also the sole responsibility of the customer to make any and all communications of any special aspect or attribute (a memorable dent, special rear view mirror, special seat, etc…) in writing to Patriot Chassis in order to give Patriot Chassis every opportunity to make arrangements with customer as to the expectations of restoration or collection of such items.

 

FORCE MEJEURE

No Party shall be liable or responsible to the other Party, nor be deemed to have defaulted under or breached any implied or otherwise agreement, for any failure or delay in fulfilling or performing any expectations of any given project or service (except for any obligations to make previously owed payments to the other Party hereunder) when and to the extent such failure or delay is caused by or results from acts beyond the impacted Party’s (“Impacted Party”) reasonable control, including, without limitation, the following force majeure events (“Force Majeure Event(s)”) that frustrates the purpose of any agreement or service: (a) acts of God; (b) flood, fire, earthquake or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order or law; (e) actions, embargoes or blockades in effect on or after the date of this Agreement; (f) action by any governmental authority; (g) national or regional emergency; (h) strikes, labor stoppages or slowdowns or other industrial disturbances; (i) epidemic, pandemic or similar influenza or bacterial infection (which is defined by the United States Center for Disease Control as virulent human influenza or infection that may cause global outbreak, or pandemic, or serious illness); (j) emergency state; (k) shortage of adequate medical supplies and equipment; (l) shortage of power or transportation facilities; (m) catastrophic financial event and(n) other similar events beyond the reasonable control of the Impacted Party.
